Nadi Terms of Use

1. Agreement to these terms

These Terms of Use ("Terms") are an agreement between you and papercut technology ("papercut," "we," "us," or "our") governing your access to and use of the Nadi fleet and school bus management application, including the iOS app, Android app, and web dashboard (together, "Nadi" or the "App"). By downloading, creating an account, or using Nadi, you agree to be bound by these Terms and by the Nadi Privacy Policy, which is incorporated by reference. If you are using Nadi on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not download or use the App. Delete it from your device and discontinue use of the web dashboard.

2. Accounts & eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create or use a Nadi account. Accounts are generally issued by a fleet organization — a transport operator, school district, or similar — that administers access for its drivers and staff. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us immediately at support@papercuttech.com if you suspect unauthorized access.

3. License to use Nadi

Subject to these Terms, papercut grants you a limited, non-exclusive, non-transferable, revocable license to access and use Nadi for its intended operational purpose: managing fleet and school bus operations (inspections, clock-in/out, routes, payroll records, and related workflows). This license is personal to you and may not be sublicensed, sold, or transferred.

If you downloaded Nadi from the Apple App Store, the license is further limited to use on Apple-branded products that you own or control, as permitted by the Usage Rules in Apple's Licensed Application End User License Agreement and App Store Terms of Service.

All rights, title, and interest in Nadi, including all software, design, and content we provide (excluding your own content), remain with papercut and our licensors. No rights are granted except as expressly stated in these Terms.

4. Acceptable use

You agree not to:

• Use Nadi for any unlawful purpose, or in a way that violates any applicable local, state, national, or international law
• Submit false inspection reports, falsified clock-in or clock-out records, or other inaccurate safety or payroll data
• Attempt to access another user's account or data without authorization, or bypass role-based access controls
• Reverse engineer, decompile, or attempt to extract the source code of the App, except where applicable law permits it
• Interfere with or disrupt the integrity or performance of Nadi, including by introducing malware or attempting a denial-of-service attack
• Use automated means to scrape, harvest, or extract data from Nadi without our written permission
• Impersonate any person or entity, or misrepresent your role or affiliation with a fleet organization

5. Your content & data

You retain ownership of the content and data you or your organization submit to Nadi — inspection reports, route uploads, clock records, and similar operational content ("Your Content"). You grant papercut a license to host, store, process, and display Your Content solely to provide and improve Nadi. Where a fleet organization administers your account, that organization may also have rights over Your Content under its own agreement with papercut or its own policies, and we may act on that organization's instructions regarding data it controls.

You are responsible for the accuracy of the content you submit, including safety-critical records such as inspection reports and clock-in data. How we handle personal information is described in the Nadi Privacy Policy.

6. Safety & operational judgment

Nadi is a record-keeping and coordination tool. It does not replace a qualified vehicle inspection, a licensed mechanic's judgment, or any legal duty your organization has under motor-carrier, school-transport, or workplace-safety rules. Whether a vehicle is safe to operate remains the responsibility of your organization and its qualified personnel. papercut is not responsible for driving decisions, route safety, or passenger welfare on the road.

7. Service availability & changes

We work to keep Nadi available and reliable, but we do not guarantee uninterrupted access. Cellular coverage, device settings, and your organization's network can affect the App. We may modify, suspend, or discontinue features, with reasonable notice where a change materially affects your use, except where immediate action is needed for security or legal reasons.

papercut, not Apple, is responsible for providing any maintenance and support for Nadi. Support contact details are in Section 18.

8. Fees & organization agreements

Nadi is set up and priced directly with the fleet organizations that use it, rather than sold as a self-serve consumer subscription in the App. Individual drivers and staff generally access Nadi at no direct cost to them, under access granted by their organization. Fees, billing terms, and service levels for an organization's use of Nadi are set out in a separate agreement between papercut and that organization.

If we later offer in-app purchases or auto-renewing subscriptions through the Apple App Store, pricing, billing cycle, and cancellation terms will be disclosed at the point of purchase and will also be governed by Apple's App Store terms and billing. Any such purchase is a transaction between you and Apple; papercut does not collect or store your Apple ID payment details.

9. Third-party services

Nadi may link to or integrate with third-party services (such as mapping, OCR, or notification providers). We are not responsible for the content, policies, or practices of third-party services, and your use of them is subject to their own terms. You must also comply with any applicable third-party agreement when using the App, including your wireless data service agreement.

10. Disclaimer of warranties

NADI IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. We do not warrant that Nadi will be error-free, uninterrupted, or completely secure.

If you downloaded Nadi from the Apple App Store and it fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you. To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to Nadi. Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are papercut's sole responsibility, subject to these Terms.

11. Limitation of liability

To the fullest extent permitted by law, papercut and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of Nadi. Our total liability for any claim arising from these Terms or Nadi is limited to the amount you or your organization paid us for Nadi in the twelve months preceding the claim, or $100 if no fees were paid. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

Apple is not responsible for addressing any claims by you or any third party relating to Nadi or your possession and use of it, including but not limited to: (i) product liability claims; (ii) any claim that Nadi fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

12. Indemnification

You agree to indemnify and hold papercut harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your misuse of Nadi, your violation of these Terms, or your violation of any rights of a third party.

13. Suspension & termination

We may suspend or terminate your access to Nadi if you violate these Terms, if required by law, or if your organization's agreement with us ends. You may stop using Nadi and request deletion of your account at any time — see our Data Deletion page and the Nadi Privacy Policy. Sections of these Terms that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will survive.

14. Additional terms for Apple App Store

If you downloaded Nadi from Apple's App Store, the following additional terms apply and take precedence over any conflicting term in these Terms with respect to your use of Nadi on Apple-branded devices. These Terms are a custom End User License Agreement between you and papercut technology only — not Apple Inc. ("Apple"):

• papercut, not Apple, is the licensor of Nadi. Apple is not a party to these Terms and is not responsible for Nadi or its content.
• The license granted to you is limited to a non-transferable license to use Nadi on any Apple-branded product that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions / App Store Terms of Service.
• Apple has no obligation whatsoever to furnish any maintenance or support services with respect to Nadi. That responsibility belongs to papercut, as described in these Terms. Support is available at support@papercuttech.com and via the contact page.
• In the event of any failure of Nadi to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for Nadi to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to Nadi.
• Apple is not responsible for addressing any claims by you or any third party relating to Nadi or your possession and/or use of Nadi, including product liability claims, any claim that Nadi fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection, privacy, or similar legislation.
• In the event of any third-party claim that Nadi or your possession and use of Nadi infringes that third party's intellectual property rights, papercut, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim, to the extent required by these Terms.
• You represent and warrant that you are not located in a country that is subject to a U.S. government embargo, or that has been designated by the U.S. government as a "terrorist supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties.
• You must comply with applicable third-party terms of agreement when using Nadi (for example, your wireless data service agreement).
• Apple and Apple's subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

15. Additional terms for Google Play

If you downloaded Nadi from Google Play, your use is also subject to the Google Play Terms of Service. Google LLC and its affiliates are not responsible for Nadi. Google's own privacy and terms of service policies apply to your use of the Google Play store itself, separately from these Terms.

16. Governing law & disputes

These Terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict-of-law principles. Any dispute arising from these Terms or Nadi will be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey, and you consent to that jurisdiction and venue. Nothing in this section limits any non-waivable consumer rights you may have in your place of residence.

17. Changes to these terms

We may update these Terms from time to time. We will update the effective date above, and where a change is material, we will provide additional notice, such as an in-app notice or an email, before it takes effect. Continued use of Nadi after a change takes effect constitutes acceptance of the updated Terms.
