1. Agreement to these terms
These Terms of Service ("Terms") are an agreement between you and papercut technology ("papercut," "we," "us," or "our"), governing your access to and use of our website, Nadi, and Nestora (together, the "Services"). By creating an account, downloading, or using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Accounts & eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account. Accounts on Nadi and Nestora are generally issued by an organization — a transport operator, school district, property manager, or homeowners' association — that administers access for its drivers, staff, residents, or owners. You're responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us immediately at support@papercuttech.com if you suspect unauthorized access.
3. License to use the Services
Subject to these Terms, papercut grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended operational purpose — managing fleet and school bus operations through Nadi, or managing property and community operations through Nestora. This license is personal to you and may not be sublicensed, sold, or transferred. All rights, title and interest in the Services, including all software, design and content we provide (excluding your own content), remain with papercut and our licensors.
4. Acceptable use
You agree not to:
- Use the Services for any unlawful purpose, or in a way that violates any applicable local, state, national or international law
- Submit false inspection reports, falsified clock-in or clock-out records, or fabricated billing or collection entries
- Attempt to access another user's account or data without authorization, or bypass role-based access controls
- Reverse engineer, decompile, or attempt to extract the source code of the Apps, except where applicable law permits it
- Interfere with or disrupt the integrity or performance of the Services, including by introducing malware or attempting a denial-of-service attack
- Use automated means to scrape, harvest, or extract data from the Services without our written permission
- Impersonate any person or entity, or misrepresent your role or affiliation with an organization
5. Your content & data
You retain ownership of the content and data you or your organization submit to the Services — inspection reports, route uploads, billing records, requests, and similar operational content ("Your Content"). You grant papercut a license to host, store, process, and display Your Content solely to provide and improve the Services. Where an organization administers your account, that organization may also have rights over Your Content under its own agreement with papercut or its own policies, and we may act on that organization's instructions regarding data it controls.
You're responsible for the accuracy of the content you submit, including safety-critical records like inspection reports and clock-in data.
6. Service availability & changes
We work to keep the Services available and reliable, but we don't guarantee uninterrupted access. We may modify, suspend, or discontinue features of the Services, with reasonable notice where a change materially affects your use, except where immediate action is needed for security or legal reasons.
7. Fees & organization agreements
Nadi and Nestora are set up and priced directly with the organizations that use them, rather than sold as self-serve subscriptions. Fees, billing terms, and service levels for an organization's use of the Services are set out in a separate agreement between papercut and that organization. Individual users (such as drivers or residents) generally access the Services at no direct cost to them, under access granted by their organization. If we introduce direct consumer subscriptions in the future, any in-app purchase or subscription terms — including pricing, billing cycle, and auto-renewal — will be clearly disclosed at the point of purchase and are, for Apple and Google Play purchases, additionally governed by those platforms' billing terms.
8. Third-party services
The Services may link to or integrate with third-party services (such as mapping, OCR, or notification providers). We aren't responsible for the content, policies, or practices of third-party services, and your use of them is subject to their own terms.
9. Disclaimer of warranties
The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We don't warrant that the Services will be error-free, uninterrupted, or completely secure. Operational judgment — such as whether a vehicle is safe to operate, or whether a maintenance issue is urgent — remains the responsibility of your organization and its qualified personnel; the Services are a record-keeping and coordination tool, not a substitute for professional safety inspection or judgment.
10. Limitation of liability
To the fullest extent permitted by law, papercut and its officers, employees, and agents won't be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Services. Our total liability for any claim arising from these Terms or the Services is limited to the amount you or your organization paid us for the Services in the twelve months preceding the claim, or $100 if no fees were paid. Some jurisdictions don't allow certain limitations of liability, so some of the above may not apply to you.
11. Indemnification
You agree to indemnify and hold papercut harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your misuse of the Services, your violation of these Terms, or your violation of any rights of a third party.
12. Suspension & termination
We may suspend or terminate your access to the Services if you violate these Terms, if required by law, or if your organization's agreement with us ends. You may stop using the Services and request deletion of your account at any time — see our Data Deletion page. Sections of these Terms that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will survive.
13. Additional terms for App Store downloads
If you downloaded the app from Apple's App Store, the following additional terms apply and take precedence over any conflicting term in these Terms with respect to your use of the app on Apple-branded devices:
- These Terms are between you and papercut technology only, not Apple Inc. ("Apple"). Apple is not responsible for the app or its content.
- The license granted to you is limited to a non-transferable license to use the app on any Apple-branded product that you own or control, as permitted by the Usage Rules in Apple's App Store Terms of Service.
- Apple has no obligation to furnish any maintenance or support services for the app — that responsibility belongs to papercut, as described in these Terms.
- In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the app to you; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
- Apple is not responsible for addressing any claims by you or a third party relating to the app, including product liability claims, claims that the app fails to conform to legal or regulatory requirements, and claims arising under consumer protection or similar legislation.
- Apple is not responsible for investigating, defending, settling, or discharging any claim that the app or your possession and use of it infringes a third party's intellectual property rights.
- You represent that you're not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and that you're not on any U.S. government list of prohibited or restricted parties.
- You must comply with any applicable third-party agreement (for example, your wireless data service agreement) when using the app.
- Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
14. Additional terms for Google Play downloads
If you downloaded the app from Google Play, your use is also subject to the Google Play Terms of Service. Google Inc. and its affiliates are not responsible for the app, and Google's own privacy and terms of service policies apply to your use of the Google Play store itself, separately from these Terms.
15. Governing law & disputes
These Terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict-of-law principles. Any dispute arising from these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey, and you consent to that jurisdiction and venue.
16. Changes to these terms
We may update these Terms from time to time. We'll update the effective date above, and where a change is material, we'll provide additional notice, such as an in-app notice or an email, before it takes effect. Continued use of the Services after a change takes effect constitutes acceptance of the updated Terms.
